Mr. Yamagishi is a founding partner of Miyakezaka Sogo, and has been working for the firm for 25 years, a period of great success and expansion of the firm which now has 31 Japanese lawyers in a variety of specialties including corporate & finance, litigation & ADR, bankruptcy and restructuring.
Mr. Yamagishi's own practice focuses on corporate dispute resolution, corporate alliance projects, as well as corporate rehabilitation, restructuring and bankruptcy.
In the area of corporate dispute resolution, Mr. Yamagishi handles disputes related to commercial transactions, capital and business alliances, management and real property.
Mr. Yamagishi's corporate alliance projects include mergers and acquisitions through stock transfers, share exchanges, company splits, business transfers and joint ventures, involving Japanese corporations and their overseas subsidiaries and joint ventures in China, Taiwan, Hong Kong and ASEAN member states. Other forms of capital alliances Mr. Yamagishi has conducted include mergers, third party allocations and investment related agreements between corporations as well as between corporations and funds, venture capitalists and other investors. Mr. Yamagishi's business alliance projects have involved the introduction of technology, joint research and development, manufacturing and work outsourcing, IT system and network related agreements, data management, secondment and personnel placement, as well as distributorships and franchises between Japanese corporations and enterprises in China, Taiwan, Hong Kong and ASEAN member states. He has also been involved in the expansion of Japanese corporations overseas, and is capable of dealing with overseas trade agreements.
Mr. Yamagishi also has experience in corporate restructuring, rehabilitation and bankruptcy, including major cases involving civil rehabilitation, corporate reorganization, special liquidation and bankruptcy proceedings under Japanese and foreign laws. He has also assisted in corporate recovery through sponsor enterprises such as project companies, investment companies and funds.
